By accessing or using ContextSync ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

ContextSync provides a unified memory and rules synchronization platform for AI coding tools. The Service includes:

  • A command-line interface (CLI) tool for local use
  • Cloud synchronization services (Pro tier)
  • Web dashboard for account management

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use
  • Be responsible for all activities under your account

4. Subscription and Payment

4.1 Free Tier

The Free tier is provided at no cost with limited features as described on our pricing page.

4.2 Pro Subscription

  • Pro subscriptions are billed in advance on a monthly, quarterly, or yearly basis
  • All fees are non-refundable except as stated in our Refund Policy
  • Prices are subject to change with 30 days notice
  • Payment is processed securely through Creem

4.3 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current subscription price.

4.4 Cancellation

You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse engineer, decompile, or disassemble the software
  • Use the Service to store or transmit malicious content
  • Interfere with or disrupt the Service or servers
  • Share your account credentials with others
  • Use more than the allowed number of devices per account

6. Intellectual Property

ContextSync and its original content are owned by us and protected by intellectual property laws. Your memory content remains your property. You grant us a limited license to store and sync your content solely to provide the Service.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may:

  • Perform scheduled maintenance with advance notice
  • Temporarily suspend service for emergency repairs
  • Modify or discontinue features with reasonable notice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless ContextSync from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account for violation of these Terms. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and associated data
  • No refunds will be provided for partial subscription periods

12. Dispute Resolution

Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable laws.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
